Company Formation & Registrations
We can assist with the formation of limited companies (including right to manage companies and companies limited by guarantee) and limited liability partnerships. Where required we can provide advice on what it means to be a director, shareholder or a person with significant control (“PSC”).
Our dedicated team of corporate lawyers have a wealth of experience in advising on the roles, requirements and legal responsibilities of officers and the implications of not having the correct paperwork in order.
For company clients, a dedicated KBL solicitor, who understands your share history, can advise on Companies House filings, help you identify persons with significant control and provide assistance where incorrect or inadequate filings have been made. We can assist with the statutory registration of changes in membership and officers and prepare board minutes, written resolutions and memorandums to evidence compliance with director’s duties, your company’s constitution and the Companies Act 2006.
With the changes in legislation imposing a greater requirement for transparency over who owns and controls UK companies (shown by the PSC regime in force from 6th April 2016 and the ban on the use of corporate directors under the Small Business, Enterprise and Employment Act 2015 (which is not yet in force) company directors have a daunting and increasing amount of red tape to unravel.
KBL have experience at their fingertips – we offer “jargon free” guidance on company secretarial aspects to support directors and secretaries in their roles allowing you to concentrate on managing your business!
